Quorum User Agreement

This User Agreement (the “Agreement”) is between you and Pampas Systems, Inc., which provides Quorum (“Quorum,” “we,” “us,” or “our”). It governs your access to and use of the Quorum mobile application, websites, accounts, health-data features, Axiom assistant, and related services (collectively, the “Services”). Our Privacy Policy, incorporated into this Agreement by reference, explains how we collect, use, disclose, retain, and protect information. If you do not agree to this Agreement, do not create an account or use the Services.

1. Eligibility and acceptance

You may use the Services only if:

you are at least 18 years old;
you can form a binding contract where you live;
you are not prohibited from using the Services under applicable law; and
the information you provide about your eligibility is accurate.

By affirmatively accepting this Agreement or using the Services after acceptance, you agree to its terms.

2. What Quorum provides

Quorum is a consumer health and wellness information service. With permissions you choose to grant, the Services may:

read and import information you authorize from Apple Health and, if offered later, other supported sources;
organize health, fitness, activity, sleep, recovery, nutrition, and related information;
calculate trends, baselines, summaries, and wellness-oriented observations;
use optional self-reported information to tailor context or dashboard focus areas;
provide AI-assisted explanations and conversations through Axiom; and
help you prepare questions or summaries for a healthcare professional.

Features, supported data types, calculations, and availability may change. Quorum does not promise that every feature or data source will always be available.

3. Important health and emergency notice

Quorum is not a medical device, healthcare provider, clinician, emergency service, or substitute for professional medical judgment. The Services do not diagnose, treat, cure, mitigate, or prevent any disease or medical condition and do not provide medical advice.

Information from wearables, HealthKit, connected devices, self-reports, statistical methods, and AI systems can be delayed, incomplete, inaccurate, misleading, or unavailable. A trend, alert, score, summary, or response may miss an important condition or may flag something that is not clinically significant.

You agree that you will not:

use the Services as your sole basis for a diagnosis or treatment decision;
start, stop, or change medication or treatment because of the Services;
disregard or delay professional medical advice because of information from Quorum; or
rely on Quorum for emergency detection or response.

Consult a qualified healthcare professional before making medical decisions. If you believe you may be experiencing a medical emergency, call 911 or your local emergency number immediately. Do not wait for or rely on Quorum.

4. Your account

You are responsible for maintaining accurate account information, safeguarding your credentials and devices, and promptly notifying us at hello@quorum.care if you suspect unauthorized access. You may not share an account in a way that exposes another person’s health information or use another person’s account without authorization.

You are responsible for activity performed through your account unless applicable law provides otherwise. We may require identity or account verification before acting on a security, access, export, or deletion request.

5. Your information and permissions

You choose whether to connect a supported health source and which system permissions to grant. You may revoke Apple Health or HealthKit permissions through Apple’s settings. Revoking a permission may limit features and does not automatically delete information previously provided to Quorum.

As between you and Quorum, you retain any ownership rights you have in information or content you provide. You grant Quorum a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, and create technical transformations of that information only as reasonably necessary to provide the features you request; operate, secure, and support the Services; comply with your choices; and meet legal obligations. Any product analytics or other use must be described in the Privacy Policy and remain subject to applicable permissions and law. This license ends when the information is deleted from our active systems, subject to reasonable backup cycles and lawful retention.

Quorum will not use HealthKit data for advertising, marketing, or unrelated data mining. Additional details and choices are described in the Privacy Policy and any just-in-time consent shown before information is collected or shared.

Do not submit information about another person unless you have the legal right and any required consent to do so.

6. Axiom and automated features

Axiom and other automated features may use probabilistic models, rules, published research, and information available in your account. Outputs can vary and may contain mistakes, unsupported inferences, or outdated information. Citations or confidence indicators do not turn an output into medical advice or guarantee that it applies to you.

You should independently review important information and confirm health-related conclusions with a qualified professional. Quorum uses service providers to operate AI-assisted features as described in the Privacy Policy and applicable consent screens.

You may not use Axiom or other automated features to obtain or facilitate emergency services, diagnose another person, make an employment or insurance decision, or make another high-impact decision about someone else.

7. Privacy

Our Privacy Policy is incorporated into this Agreement by reference. System permission prompts, onboarding disclosures, and other consent screens may provide more specific choices; those choices control for the data or feature they describe.

Health information can be subject to different laws depending on who provides the service and why. Do not assume that information is protected by HIPAA merely because it relates to health. The Privacy Policy describes the protections and rights that apply to Quorum’s Services.

8. Service license and Apple terms

Subject to this Agreement, Quorum grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for your own lawful, non-commercial use.

Apple’s standard end-user license agreement and applicable Apple Media Services terms govern the license to the iOS application itself. This Agreement separately governs your Quorum account and the Services. We are not replacing Apple’s standard license with a custom Apple EULA.

9. Acceptable use

You may not, and may not help another person to:

access or use the Services unlawfully, fraudulently, or in violation of another person’s rights;
obtain, expose, infer, or attempt to access another person’s account or health information;
upload malware, interfere with security, probe vulnerabilities, overload infrastructure, or bypass access controls;
scrape, harvest, or use automated means to extract data except through an interface we expressly provide;
reverse engineer or attempt to derive source code except where applicable law expressly permits it;
use the Services or outputs to train or evaluate a competing model or service without written permission;
misrepresent a Quorum output as a clinical diagnosis, medical record, or statement from a healthcare professional;
remove proprietary notices or misuse Quorum names, marks, or branding; or
use the Services for any safety-critical, clinical, discriminatory, or high-impact decision about another person.

We may investigate suspected abuse and may limit access when reasonably necessary to protect users, the Services, or third parties.

10. Third-party services and devices

The Services may depend on Apple Health, HealthKit, device manufacturers, identity providers, cloud providers, research publishers, and other third-party products or services. Their terms and privacy practices apply to your use of their services. You must comply with applicable third-party terms, including Apple’s usage rules.

Quorum does not control third-party devices, measurements, outages, changes, or data quality and is not responsible for them. A third party’s compatibility with Quorum does not mean that the third party endorses Quorum or that Quorum endorses the third party.

11. Quorum intellectual property and feedback

The Services, including software, designs, documentation, models, compilations, and Quorum branding, are owned by Quorum or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Services, this Agreement grants you no ownership or license to Quorum intellectual property.

If you voluntarily provide feedback, you grant Quorum a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.

12. Availability, beta features, and changes

The Services may be interrupted, delayed, changed, or discontinued. We do not guarantee continuous availability, retention of every feature, or compatibility with every device or operating-system version.

Pre-release or TestFlight features may be incomplete, unstable, and changed or removed without notice. Do not rely on beta features for medical, safety-critical, or production purposes.

We may provide updates that are required for security, legal compliance, or continued operation. You are responsible for using a supported app version and maintaining a compatible device and network connection.

13. Suspension, termination, and deletion

You may stop using the Services at any time. You may request account deletion in the app or by contacting hello@quorum.care. We will process a deletion request as described in the Privacy Policy and applicable law. Some information may remain for reasonable backup cycles, legal obligations, security records, and other purposes permitted or required by law.

We may suspend or terminate access if we reasonably believe you violated this Agreement, created risk or harm, used the Services unlawfully, or if suspension is necessary for security or legal compliance. When reasonably practicable, we will provide notice and an opportunity to address the issue.

Sections that by their nature should survive termination — including intellectual property, warranty disclaimers, liability limitations, and general terms — will survive.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Quorum disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

Quorum does not warrant that the Services or any health information, analysis, alert, citation, recommendation, or AI output will be accurate, complete, current, secure, uninterrupted, error-free, or suitable for your circumstances. No statement from Quorum creates a warranty unless expressly stated in this Agreement.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law, and you retain non-waivable consumer rights.

15. Limitation of liability

To the maximum extent permitted by law, Quorum and its officers, directors, employees, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, goodwill, or opportunities; or the cost of substitute services arising from or related to the Services, even if advised that such damages were possible.

To the maximum extent permitted by law, the total aggregate liability of Quorum and those parties for all claims arising from or related to the Services will not exceed the greater of US $100 or the amount you paid Quorum for the Services during the 12 months before the event giving rise to the claim.

These limitations do not exclude liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or personal injury caused by negligence where applicable law prohibits that exclusion.

16. Changes to this Agreement

We may update this Agreement to reflect changes in the Services, law, security requirements, or business practices. The version and date will identify the agreement presented to you. If an update is material, we will provide notice and require a new affirmative acceptance before the updated Agreement applies where required.

An agreement update will not by itself require you to answer optional onboarding questions again.

17. Disputes and consumer rights

Contact hello@quorum.care first so we can try to resolve a concern informally. This Agreement is subject to applicable law and the jurisdiction of courts that have authority under that law. Nothing in this Agreement limits a non-waivable consumer right or requires arbitration, waives class-action rights, or selects a governing state or venue.

18. General terms

This Agreement and the Privacy Policy are the entire agreement between you and Quorum concerning the Services, except for additional terms presented for a specific feature. If there is a conflict, the more specific terms control for that feature.

If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent. We may assign it as part of a merger, financing, reorganization, sale of assets, or by operation of law, subject to applicable privacy obligations.

Headings are for convenience only. Electronic notices and records satisfy writing requirements where permitted by law.
